Terms of Service

1. Who we are

Qualis is operated by BERRYNOON SARLAU (trading as BerryNoon), a company registered in Morocco at Oasis Offices Latitudes, Route de l’Oasis, Bureau 304, Maarif, 20103 Casablanca, Morocco, RC 733061, ICE 003979715000027, tax identifier 73087035. In these Terms we call that entity “we”, “us” or “Qualis”.

2. The service

Qualis is a modular, multi-tenant ERP for discrete manufacturers, delivered over the internet. Your organization gets its own isolated workspace. Which modules you can use depends on your plan, described in section 4.

We improve Qualis continuously. We may add, change or remove features. If we make a change that removes a material feature you rely on, we will give you reasonable notice. We will not degrade or remove features as a way of pushing you onto a higher-priced plan.

3. Accounts and organizations

You need an account to use Qualis. You are responsible for the accuracy of your account details, for keeping your credentials secure, and for everything done under your account. Tell us promptly if you believe an account has been compromised.

An organization is the billing and data boundary. Organization administrators can invite and remove members, grant permissions, and manage the subscription. If you are invited to an organization, its administrators control your access and can see the work you do inside it.

4. Plans, pricing and billing

Qualis Start is free forever. It includes a fixed set of starter modules, unlimited users, and 2 GB of file storage. It is not a trial and it does not expire.

Qualis Complete includes every module, and is priced per seat per month. Current prices are published on our website and shown to you at checkout before you pay.

These commitments apply to every paid subscription:

• Monthly billing, cancel anytime. Subscriptions are billed monthly in advance. You can cancel at any time, effective at the end of your current billing period.
• Public pricing, no sales call. Our prices are published. You never have to talk to us to find out what Qualis costs.
• No implementation or onboarding fee. We do not charge a setup fee to start using Qualis.
• No renewal uplift, ever. We do not raise your price at renewal as a matter of course.
• No caps on orders or transactions. We do not meter your production, orders, or documents, and we will not charge you for using Qualis more.
• Founding price, locked for life. If we raise our list prices, existing subscriptions stay on the price they signed up at, for as long as they remain active.

Seat counts are derived from the members of your organization. If you add or remove members mid-period, your charge is adjusted accordingly by our payment partner. File storage above your plan’s included allowance is charged per GB per month at the rate shown in your organization’s billing settings.

Our reseller and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

In practice this means: when you buy a subscription, your purchase contract is with Paddle.com, not with us. Paddle takes the payment, handles sales tax and VAT, and issues your invoice and receipt. We license Qualis to you under these Terms. Paddle’s own buyer terms apply to the purchase itself and are worth reading. Where Paddle’s buyer terms and these Terms disagree about the purchase transaction, Paddle’s buyer terms govern that transaction, and these Terms continue to govern your use of Qualis.

5. Cancellation, downgrade and your data

You can cancel a paid subscription at any time. Your paid access continues until the end of the billing period you have already paid for. After that, your organization moves to Qualis Start rather than being shut off.

We will not lock you out of your own data. If you cancel, if a payment fails, or if your subscription lapses for any other reason, your organization keeps access to its account and its records under the free plan. Modules outside the free bundle become read-limited until you subscribe again, but your data is not deleted, held hostage, or ransomed back to you.

You can export your data at any time. Every records table in Qualis supports export to CSV and Excel. If you want your organization and its data permanently deleted, ask us and we will delete it, subject to the retention rules in our Privacy Policy.

Refunds are covered by our Refund Policy, including our 30-day money-back guarantee.

6. Your data

Your data stays yours. You keep all rights to the records, files and content your organization puts into Qualis. You grant us only the permission we need to host, process, back up and display that content in order to run the service for you.

We do not sell your data. We do not use your business records to train machine-learning models. How we handle personal data is set out in our Privacy Policy.

You are responsible for the data you put into Qualis: that you are allowed to hold it, and that it does not infringe anyone’s rights. Where your records include personal data about your own customers, suppliers or staff, you are the controller of that data and we process it on your instructions.

7. Acceptable use

You agree not to:

• break the law with Qualis, or use it to store or distribute unlawful content;
• attempt to access another organization’s data, probe or breach our access controls, or interfere with the integrity of the service;
• resell, sublicense or white-label Qualis to third parties without our written agreement;
• deliberately overload the service, or use automation in a way that degrades it for others;
• upload malware, or content you have no right to upload.

If you seriously or repeatedly break these rules we may suspend the account involved. We will tell you why, and we will give you a chance to put it right where it is reasonable to do so.

8. Optional AI features

Qualis offers optional AI features. They are off unless your organization turns them on and supplies its own API key for the AI provider it chooses. If you enable them, the content you send to those features, which can include your ERP records, is transmitted to the AI provider you selected under that provider’s terms, using your key and your account with them. We do not select the provider for you and we are not responsible for what it does with that content. If you would rather no data leave Qualis this way, leave the AI features off.

9. Availability and support

We work to keep Qualis available and fast, but we do not promise it will be uninterrupted or error-free, and we do not offer a contractual uptime guarantee on the plans described here. We carry out maintenance, and we will try to schedule anything disruptive outside normal working hours. Support is available to all customers, free and paid, through the channels in section 13.

10. Intellectual property

Qualis, including its software, design and documentation, belongs to us and our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use Qualis while your account is in good standing. They do not transfer any ownership to you. Feedback you send us is welcome, and we may act on it freely without owing you anything.

11. Warranties and liability

Qualis is provided “as is”. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the extent the law allows, neither party is liable for indirect or consequential loss, or for lost profits, revenue, or data, and our total liability arising out of these Terms in any 12-month period is limited to the amounts you paid for Qualis in that period.

Nothing in these Terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. If you are a consumer, your statutory rights are unaffected.

12. Changes to these Terms

We may update these Terms as Qualis and the law evolve. If a change materially affects you, we will give reasonable notice by email or in the app before it takes effect. The “last updated” date at the top of this page always reflects the current version. If you keep using Qualis after a change takes effect, you accept the updated Terms. If you do not accept them, you can cancel as described in section 5.

13. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Morocco, and the courts of Casablanca, Morocco have jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of the country you live in, and nothing here takes away your right to bring proceedings where those laws allow. Before starting formal proceedings, please contact us: most problems are faster to fix directly, and our complaints process sets out how we handle them and how long we take.
